1. About MainStreet
MainStreet ("Platform", "we", "us") operates as a listing platform connecting buyers and sellers of small-to-medium businesses. We are not a licensed business broker, investment adviser, or M&A intermediary. We do not represent either party in a transaction and do not earn success fees or commissions on completed sales.
Brokers who access the Platform through our Broker Portal are independent professionals; MainStreet is not responsible for their advice or representations.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use this Platform. By registering, you represent that all information you provide is accurate and that you are not prohibited by applicable law from using the Platform.
3. Seller Obligations
- All financial data, business descriptions, and representations must be truthful and not misleading.
- You are solely responsible for verifying the accuracy of AI-generated valuations and marketing documents before using them with prospective buyers.
- You must hold all rights to the business information you upload and grant us a limited licence to process and display it on the Platform.
- You must not list businesses you do not own or are not authorised to sell.
- Fraudulent listings will result in immediate account termination and may be reported to relevant authorities.
4. Buyer Obligations
- NDA agreements executed on the Platform are legally binding. You must keep all disclosed Confidential Information strictly confidential.
- You must conduct your own independent due diligence before making any offer or completing any acquisition.
- You may not use information obtained through the Platform to circumvent the Platform (i.e., contact sellers directly to avoid Platform fees after receiving access through the NDA gate).
5. AI-Generated Content Disclaimer
Valuations, Confidential Information Memoranda (CIMs), and other AI-generated content produced by MainStreet are provided for informational purposes only. They do not constitute:
- A professional appraisal, fairness opinion, or certified valuation;
- Legal, tax, or financial advice;
- A guarantee of business value, future performance, or saleability.
You should consult qualified professionals (accountants, lawyers, M&A advisers) before acting on any Platform content.
6. Prohibited Conduct
You may not use the Platform to:
- List fictitious, stolen, or fraudulently represented businesses;
- Manipulate or misrepresent financial data uploaded for AI analysis;
- Harvest contact information for spam or unsolicited outreach;
- Attempt to reverse-engineer, scrape, or copy Platform content or AI models;
- Violate any applicable law, including securities laws and anti-money-laundering regulations.
7. Fees and Payments
Current pricing is published on the Platform and may be updated with 30 days' notice. All fees are in USD unless otherwise stated. We do not earn commissions on completed transactions.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MainStreet AND ITS AFFILIATES, OFFICERS, AND EMPLOYEES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING LOSSES RESULTING FROM TRANSACTIONS YOU ENTER INTO WITH OTHER USERS.
Our aggregate liability for direct damages shall not exceed the fees you paid to us in the 12 months preceding the claim.
9. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. For users in Canada, applicable Canadian federal and provincial laws also apply to the extent required.
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or an in-platform notice at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
